Ski Trip USA Terms and Conditions of Use

Skitripusa.com is a market networking service that allows Members to create unique company profiles online in order to find new clients. This Terms of Conditions of Use Agreement ("Agreement") sets forth the legally binding terms for use of the Ski Trip USA Services. Services include all information posted by Ski Trip USA, all information viewed on Skitripusa.com or viewed in a subsequent link. By using the Services, you agree to this Agreement and all of the terms and conditions of use, whether you are a "Visitor" (defined as a person viewing the website) or you are a "Member" (defined as a person/company that logs in and inputs data). The term "User" refers to a Visitor or a Member. You are only authorized to use the services provided by ski trip USA (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the Ski Trip USA Website and discontinue use of the services immediately. If you wish to become a Member, communicate with other Visitors and/or make use of any of the services, you must read this Agreement and accept its terms and conditions. You will automatically accept all terms and conditions by viewing any or all parts of skitripusa.com.

Privacy agreement: Ski Trip USA agrees to not sell names, email addresses, or other personal information that is not shown in a member’s profile.

Ski Trip USA may modify this Agreement at any time such modification shall be effective immediately. You agree to be bound to any changes to this Agreement when you view or log in. There will be no notification of change so please check back here for updated terms and conditions of use on a regular basis.

Please choose the information you post in the members area of skitripusa.com and that you provide to other Users. Your profile may not include the following items: any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by members (for instance, in their Profile) may contain inaccurate, inappropriate, falsified information, offensive or sexually explicit material, products or services, and Ski Trip USA assumes no responsibility or liability for this material or it’s accuracy. If notice misuse of the by members or visitors or by any person, please contact us ASAP so we can take the appropriate actions against said person.

Ski Trip USA, LLC reserves the right and discretion, to reject or refuse to post and/or remove anything anyone posts. We also reserve the right to restrict, suspend, or terminate access to all or any part of Ski Trip USA, LLC Services at any time without cause and without liability. Ski Trip USA, LLC expressly reserves the right to remove your information in part or whole and can restrict, suspend, or terminate your companies access to any part of our Services.

Use of and Membership in the Ski Trip USA, LLC Services is void where prohibited or when prohibited by Ski Trip USA, LLC. By using Ski Trip USA, LLC Services, you warrant that: all registration information you submit is truthful and accurate, you will maintain the accuracy of such information, you are a legal adult and your use of the Ski Trip USA, LLC Services does not violate any applicable law or regulation – including all copyright laws and trademark laws. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are breaking any laws, regulations or that you are not a legal adult we will terminate your use at no cost to Ski Trip USA, LLC.

1. Term: you may terminate our services at any time however Ski Trip USA, LLC will not refund any money for paid services unless you terminate your paid services within 24 hours of purchase. If you have terminated within 24 hours you will only be charged the credit card processing fee of 3% and a $25.00 processing fee.

2. Fees. Ski Trip USA, LLC reserves the right to charge for services and to change its fees from time to time in its discretion. All changes in fees will be posted on the site 30 days prior to the change. If Ski Trip USA, LLC terminates your Membership because you have breached an Agreement, you shall not be entitled to the refund of any unused portion of subscription fees.

3. Password. Once you become a member you are soley responsible for your password. You are not aloud to give it to anyone or allow anyone to use your account. We recommend that if employees change that the supervisor be given the password and immediately change it until they have a new employee they trust to make changes to the information posted.

4. Ownership. You agree that your company holds ownership rights to all images and text which they post and give Ski Trip USA, LLC royalty free rights to use them (see proprietary rights in content for further explanation). If asked to provide proof of rights of use by an attorney or legal official Ski Trip USA, will provide them with a copy of these terms and your companies’ information.

5. Proprietary Rights in Content.

1. Ski Trip USA, LLC does not claim any ownership rights of the text, files, images, photos, video, sounds, musical works, works of authorship, or any other material that you post. After you post your companies content, your company retains all ownership rights of the content, and your company continues to have the right to use your Content in any way you choose. By displaying or publishing ("posting") any Content, you hereby grant to Ski Trip USA, LLC a royalty free license to use, modify, publicly perform, publicly display, reproduce, and distribute such content.

The license is non-exclusive, royalty-free, sub licensable, and worldwide. The license does not grant Ski Trip USA, LLC the right to sell your content, or to distribute your content to other companies for their use for a fee, unless we have your express written permission.

2. You warrant that: you own the Content posted by you or have the right to grant the license set forth in this section (ie. An agent of the company that holds the right to grant a license, etc..), and content does not violate the privacy rights, publicity rights, copyrights, trademark, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you including any legal fees that will be billed directly to you or your company (that you own or are an agent for) at the discretion of our attorneys.

3. The Content of skitripusa.com is protected by copyright, trademark, patent, trade secret and other laws, and Ski Trip USA, LLC owns and retains all rights in the content and the services. We hereby grant you/your company a limited, revocable, non sub licensable license to display and reproduce the content (excluding any code) solely for your use either printed (must be complete and show the entire page including our logo and all advertisements at the bottom of the page) or viewed on our site.

4. The content displayed is able to be redistributed for non commercial or commercial use on our site only. We do not grant a license to users as sub licensees. If you want to use pictures or text on our site please contact the company who posted the information to get a license from them.

6. Posted content. You/your company are/is solely responsible for the Content that you post, any material or information that you post. Ski Trip USA, LLC does not endorse and has no control over the content. Your content is not always reviewed by Ski Trip USA, LLC prior to posting. The content does not reflect the opinions or policies of Ski Trip USA, LLC. We make no warranties (neither express nor implied) as to the content or the accuracy and/or reliability it, nor any material or information that you transmit people who contact you while or while not on the Skitripusa.com.

7. Prohibited content or activities. The following is a partial list of Content that is illegal or prohibited. Ski Trip USA, LLC reserves the right to investigate (at your cost) and take appropriate legal action against anyone who, in our sole discretion, violates any of these provisions, including without limitations, removing the offending communication from our site and terminating the Membership of violator(s). Prohibited Content includes, but not limited to, Content that, in the sole discretion of Ski Trip USA, LLC:

1. is offensive or promotes racism, bigotry, harassment (of any kind), exploits people in a sexual or violent manner, hatred or physical harm of any kind against any group (including all protected classes or not) or any other individual(s),

2. contains inappropriate, nudity, violence, or offensive subject matter or contains a link(s) to an adult website or inappropriate website

3. solicits anyone under 18 to induce illegal activities

4. promotes false or misleading information, including specials that are out of date or no longer exist, or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous

6. Right to edit, Ski trip USA, LLC has the right to ammend or edit your listing with information from your homepage. your homepage will be defined as any pages linked to your email or any links you provide in your listing. you give them the right to use all material on said pages.including pictures, text, copywriten material and trademarked material.

5. promotes an illegal or unauthorized copy of another person's copyrighted work, trademarked work and so on such as providing a copy would be illegal for your use or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music, movies or other pirated material or links to pirated such material and files

6. a link to any website that transmits "junk mail," "chain letters," or unsolicited mass mailings/faxes, instant messaging, "spamming," or "spimming"

7. contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);

8. Links that direct to a page with any links that direct you to an inappropriate website or one that transmits junk mail etc..

9. Promotes any criminal activity or business or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, the use of illegal aliens as employees, tax evasion, drugs, violating someone's privacy, or providing or creating computer viruses

10. solicits passwords or personal identifying information for unlawful purposes from other Users;

11. includes a photograph of another person that you have posted without that person's consent; or

8. Ski Trip USA, LLC will report anyone who they believe is involved in any illegal activities to law enforcement authorities without notice.

9. Member/User Disputes. You are solely responsible for your interactions with Members and users. Ski Trip USA, LLC reserves the right, but has no obligation, to monitor any dispute between members/users. While in dispute we reserve the right to suspend yoru account/membership at our discretion (this includes members and users who are using services that cost a premium. In addition no compensation will be given to anyone for time that they were suspended due to a member/user dispute.

10. Privacy. No user or member will give out a mailing list or any type of list that has member information. They will not use user or member information to solicit members or users without express written permission from user or member. (The express permission must be a one page document in at least 12 pt font, in English and their native language and a signed copy must be emailed to us within 24 hours of receipt.) Regardless of whether they sign it or not their information may not be used for illegal activities or sold/given to anyone including other departments of your company and its’ subsidiaries.

11. Disclaimers. Ski Trip USA, LLC and all of its’ subsidiary companies are not responsible for any incorrect/inaccurate content posted on their website(s) or in connection with the any services they offer, whether caused by the user/member or any software used by any member/user to update or upload any information viewed by anyone within our company or by users/members. Profiles created by users/members on the skitripusa.com may contain links to other websites for commercial use, Ski Trip USA, LLC is not responsible for the content, accuracy or any and all opinions expressed, and those websites are in no way investigated, monitored or checked for accuracy or completeness. Ski Trip USA, LLC doesn’t endorse any information on those websites or information posted by members/users. You access those websites at your own risk. Ski Trip USA, LLC takes no responsibility for the goods or services provided by its advertisers/members/user. Ski Trip USA, LLC is in no way responsible for the conduct, whether online, offline, via phone and etc.., of any User/member/advertiser. We assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or functionality, transmission, communications line failure, theft, destruction, unauthorized access, or alteration of, any user/member/advertiser communication. Ski Trip USA, LLC is not responsible for any technical malfunction or problems, including damage of any computer used to view any of our sites or resulting from participation or downloading materials in connection site or linked sites. Ski Trip USA, LLC shall un no circumstances be responsible for any loss or damage, including personal injury or death, resulting from services, attendance at events, from any Content posted on or through the ski trip USA, LLC’s sites, or from the conduct of any users/member or advertiser, whether online or offline. Our services are provided "AS-IS". You do all activities at your own risk and realize that Ski Trip in no way has asked you to do them nor recommended doing any type of activity you are doing solely at your own risk.

12. Limitation on Liability. Under no circumstances will Ski Trip USA, LLC be held responsible for any reason.

13. U.S. Export Controls. All of the products sold by Ski Trip USA are for use within the United States and in no way should they be taken outside of the USA.

14. Disputes. All disputes with Ski Trip USA, LLC will be taken to arbitration at the location stated by Ski Trip USA, LLC and by the arbitrators they decide upon. In addition all legal fees and arbitration fees, not limited to but including travel, food and daily wage for missed business time, will be paid by you or your company regardless of the outcome of the dispute.

15. Indemnity. You agree to indemnify and hold Ski Trip USA, LLC, its subsidiaries, members, users, advertisers, and affiliates, and their respective officers, agents, partners, stock holders and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Skitripusa.com or other services offered by Ski Trip USA, LLC in violation of this agreement and/or arising from breach of this agreement and/or any breach of your representations/warranties set forth in this agreement and/or if any Content causes Ski Trip USA, LLC or any of its’ subsidiaries to be liable to another. In addition anyone who wants to file a dispute against a member/user/advertiser or Ski Trip USA, LLC must first allow a correction or removal of information regardless of whether it is a picture, file etc.. Copyrighted and other protected material included.

16. Minors. All minors will have a legal guardian review this agreement prior to any use of Ski Trip USA, LLC’s services including viewing any information on this site.

17. Other. This Agreement is accepted upon your use of the skitripusa.com or any subsidiary websites or services of Ski Trip USA, LLC. This Agreement constitutes the entire agreement between you and Ski Trip USA, LLC regarding the use of the site and services. It is Ski Trip USA, LLC’s discretion to exercise or enforce any right or provision of this agreement and it shall not be a waiver of such right(s) or provision(s).

18. The section titles in this agreement are for convenience only they have no legal or contractual effect. This agreement operates to the fullest permissible extent by law. If any provision of this agreement is unlawful, void, null, unenforceable, that provision is deemed severable from this agreement and does not affect the validity and enforceability of any remaining provisions.
